Terms of Service

By accessing or using the Xtallet platform ("Platform", "Service", "we", "our", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our platform. Xtallet reserves the right to modify these Terms at any time. Continued use of the platform after changes are posted constitutes acceptance of the revised Terms.

Nature of Service

Xtallet is a Software-as-a-Service (SaaS) platform that provides organizations and event operators with tools to create, manage, and operate structured competitive events. Xtallet is a software provider and technology company — not a financial intermediary, payment aggregator, or event operator.

What We Provide

Our software platform enables subscribing organizations to: • Create and configure events with custom registration workflows • Manage participant registrations and roster data • Track match results, standings, and performance statistics • Publish public-facing event information pages • Automate communications through integrated notification tools • Access analytics and reporting dashboards • Manage team-based operations and access controls

Scope of Service

All payments processed through Xtallet are strictly subscription fees paid by organizers for access to our software platform. Xtallet does not collect, hold, or transfer funds on behalf of organizers or participants.

3.1 Eligibility

You must be at least 18 years of age and legally capable of entering into binding contracts to create an account and access our paid services. By registering, you represent that all information you provide is accurate, current, and complete.

3.2 Business Use

Xtallet is designed for use by organizations, community operators, and event management businesses. By subscribing to a paid plan, you represent that you are using the platform for legitimate organizational or business purposes.

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at contact@xtallet.com if you become aware of any unauthorized access.

3.4 One Account Per Entity

Each organization may maintain only one active account. Creating multiple accounts to circumvent plan limitations is prohibited and may result in termination of all associated accounts.

You agree not to use Xtallet to: • Violate any applicable laws or regulations • Conduct fraudulent or deceptive activities • Upload or distribute malicious code, spam, or harmful content • Scrape, crawl, or extract data from the platform without written permission • Attempt to gain unauthorized access to our systems or other user accounts • Impersonate another person or organization • Engage in any activity that disrupts or interferes with the platform's normal operation Violation of these terms may result in immediate account suspension or permanent termination.

5.1 Software Subscription

Xtallet offers subscription-based access to its software platform. All charges are fees for access to Xtallet's software features and services only.

5.2 Billing

Paid plans are billed on a recurring monthly basis. By subscribing, you authorize Xtallet (via our payment processor) to charge your payment method at the start of each billing cycle. Payments are processed securely through PCI-compliant payment infrastructure.

5.3 Price Changes

We may update subscription pricing with at least 30 days' advance notice via email or in-platform notification. Continued use after a price change constitutes acceptance of the updated pricing.

5.4 Taxes

Subscription fees are exclusive of applicable taxes. You are responsible for any taxes, levies, or duties applicable to your subscription under the laws of your jurisdiction.

You may cancel your subscription at any time from your account settings or by contacting us at contact@xtallet.com. Upon cancellation: • Your subscription remains active until the end of the current billing period. • No additional charges will be made after cancellation. • Prorated refunds for unused days within a billing cycle are not provided, except as outlined in our Refund Policy.

As an organizer using Xtallet's platform, you are solely responsible for: • Operating your events fairly, transparently, and in compliance with all applicable laws • Accurately representing your events to participants • Fulfilling all commitments made to participants independently of Xtallet • Ensuring your use of the platform complies with the laws applicable to your organization and jurisdiction Xtallet is a software tool and is not a party to your relationship with event participants. We are not liable for any disputes arising between organizers and participants.

8.1 Platform Ownership

All content, code, design elements, trademarks, and intellectual property on the Xtallet platform are owned by or licensed to Xtallet. You may not copy, modify, distribute, or create derivative works without our prior written consent.

8.2 Your Content

You retain ownership of content you create on the platform (such as event descriptions, logos, and uploaded assets). By uploading content, you grant Xtallet a non-exclusive, royalty-free license to display and use that content solely to operate and improve the platform.

Xtallet is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the platform will be uninterrupted, error-free, or secure at all times.

To the maximum extent permitted by applicable law, Xtallet and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill. Our total aggregate liability for any claim under these Terms shall not exceed the total amount paid by you to Xtallet in the 3 months immediately preceding the claim.

You agree to indemnify, defend, and hold harmless Xtallet and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the platform, your violation of these Terms, or your infringement of any third-party rights.

Xtallet may suspend or terminate your account at any time, with or without prior notice, for violation of these Terms or at our discretion. Upon termination, your right to access the platform ceases immediately. We may retain certain data as required by applicable law or for legitimate business purposes.

These Terms are governed by and construed in accordance with the laws of India, including the Information Technology Act, 2000. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts in India.
